IonQ announced on 12 October 2026 that it has agreed to acquire Elisity, a zero-trust cybersecurity company, in an all-stock transaction valued at up to $1.3 billion. Up to $150 million of the total is tied to performance earn-outs. The deal is expected to close in the fourth quarter of 2026, subject to regulatory approval.
Elisity, founded in 2019, provides software that restricts communication among users, devices, workloads and AI agents on enterprise networks according to least-privilege policies. Its IdentityGraph combines internal data with inputs from partner tools. The company reports more than 100 customer deployments worldwide and has doubled revenue and customer count year over year. CEO James Winebrenner will continue to lead the business after closing.
IonQ said the acquisition gives it expanded channels to sell its post-quantum cryptography and quantum key distribution tools to enterprise and government customers. CEO Niccolo de Masi referred to Q-Day, the point at which quantum computers could break current encryption, as arriving faster than expected. The combined platform aims to address both present AI-related threats and future quantum risks. Elisity operates in the microsegmentation market, which IonQ estimated at more than $10 billion with double-digit growth.
The number of IonQ shares issued will be calculated using a volume-weighted average price between $33.07 and $49.61. IonQ shares fell more than 9 percent in afternoon trading after the announcement. The company completed its acquisition of chipmaker SkyWater Technology earlier in 2026 and bought UK firm Oxford Ionics in 2025. The three deals represent more than $4 billion in announced value for a company whose market capitalisation stood near $16 billion.
Federal agencies and large enterprises have accelerated timelines for quantum-resistant encryption. IonQ positions the Elisity purchase as part of a full-stack offering that includes computing, networking, sensing and security. The White House issued an executive order on 22 June 2026 directing accelerated preparation for quantum threats. The transaction expands IonQ’s customer access through Elisity’s existing CISO relationships.
Regulatory review will examine the all-stock structure and any overlapping capabilities. Elisity’s zero-trust approach operates independently of underlying network hardware, which could complement IonQ’s quantum security products. The deal adds recurring revenue and an established enterprise base to IonQ’s portfolio at a time when quantum computing stocks have seen volatility.
